Terms of service
Last updated: September 2026
These terms govern access to and use of XEED Digital Solutions platform modules. Where a signed master agreement exists between XEED and a customer, that agreement prevails over these terms.
Draft pending legal review. This document is substantively complete but has not yet been reviewed by counsel. It is published for transparency during onboarding and will be superseded before general availability.
The contracting entity
The XEED platform is provided by XEED Digital Solutions, a company established under the laws of the Kingdom of Saudi Arabia. XEED Digital Solutions is the contracting party for all subscriptions, and the entity named as seller on every tax invoice issued for the platform.
Definitions
- “Platform” means the XEED core platform (X1) and any modules the customer subscribes to, including X2 Workforce Management.
- “Customer” means the organisation that contracts with XEED. “Users” means the customer's employees and contractors given access.
- “Subscription” means the plan, seat basis and term agreed in an order form or provisioned in the platform.
Subscription and seats
Subscriptions are priced per billable employee. A billable employee is one who is active and not blocked in the platform during the billing period.
Headcount is metered daily and the period is charged on the agreed basis (peak by default). Daily measurements are retained and available to the customer, so any invoice can be reconciled against the underlying record.
Billing, VAT and invoicing
- Prices are quoted in Saudi Riyals and exclude VAT. VAT is applied at the prevailing rate at the point of invoice.
- Invoices are issued electronically and, where applicable, cleared through the ZATCA e-invoicing system. The cleared document is the authoritative tax invoice.
- Default payment terms are net 30 days from the invoice date unless otherwise agreed in an order form.
- Prices agreed at subscription are held for the term. Changes to a published list price do not re-price an existing subscription.
Plan changes
An upgrade takes effect immediately and is prorated for the remainder of the current period. A downgrade takes effect at the end of the current period — the customer retains the capacity already paid for and is not refunded for it.
Late payment and suspension
Where an invoice remains unpaid beyond its due date and a short grace period, the subscription is marked past due. Access is not withdrawn at that point. XEED recognises that the platform holds attendance and payroll records the customer is legally required to keep, and that abrupt suspension would impair their own compliance.
Suspension is a last resort, applied only after an extended period of non-payment and prior written notice. Data is not deleted on suspension.
Term and termination
Subscriptions renew automatically for successive periods unless cancelled. A cancellation takes effect at the end of the current period by default. On termination, the customer may export their data, and XEED will return or delete it on instruction, subject to retention obligations described in the privacy notice.
Data protection
The customer is the data controller and XEED the processor. XEED processes personal data only on documented instructions, applies the safeguards described in the privacy notice, and hosts data on Amazon Web Services in the region stated in that notice.
Acceptable use
- Users must not attempt to circumvent verification controls, including falsifying location, tampering with device integrity or spoofing time sources.
- The platform must not be used to process personal data beyond what the customer's lawful purpose requires.
- Access credentials must not be shared, and device bindings must not be transferred between individuals.
Availability and support
XEED operates the platform as a service, with monitoring, incident response and a regular release cadence. Specific availability commitments, support hours and response targets are set out in the applicable order form or service-level agreement rather than in these general terms.
Liability
Nothing in these terms excludes liability that cannot lawfully be excluded. Subject to that, the parties’ respective liabilities are as set out in the signed agreement between them. Where no such agreement exists, liability is limited to the fees paid in the twelve months preceding the claim.
Governing law
These terms are governed by the laws of the Kingdom of Saudi Arabia, and the parties submit to the jurisdiction of the competent courts of the Kingdom.
